- VERIFIED FROM FLORIDA REGISTRY 2026-09-06. Florida document F08000003048. State of incorporation DELAWARE; registered in Florida as a foreign not-for-profit. 2010 annual report names Epstein, Indyke and Kahn — pro forma, no substantive detail. Corrects the earlier USVI negative: this entity is Delaware/Florida, not USVI. | SAC para 31 (USVI v. JPMorgan, Doc 119, filed 2023-04-12): 'Epstein's lawyer, Darren K. Indyke, and accountant, Richard Kahn, now the Co-Executors of Epstein's Estate, authorized or directed many of the transactions in JP Morgan accounts held by Epstein or related entities,' citing USVI v. Indyke, ST-20-CV-14 paras 8-10, 76-117. ALLEGATION, not a finding. | *** EFTA00559409 (DataSet 9), read in full — email chain 2010-10-27 to 2010-11-01, ending in a forward TO DARREN INDYKE. HARRY BELLER, 2010-11-01 09:08 EDT: 'Florida Science is COUQ. Ask Darren for an explanation of the different names for the same foundation.' Preceded by a question from a redacted sender to Beller: 'Isn't The Florida Science Foundation an entity of COUQ?' and by a correspondent (person-row unpublished) asking (2010-10-27) for the 'vision' of 'the Jeffrey Epstein Foundation' and 'the Jeffery Epstein Florida Science Foundation (or whatever it is called)', wording that 'should have been filed as part of legal documents in setting up these 501 3 (c)s', plus 'a list of NON scientific charities that he has supported, where there funds have not been returned to him'. TREAT AS A STATEMENT, NOT A MERGER. The public record shows TWO DISTINCT REGISTRATIONS: Florida Science Foundation = FL domestic N07000010684, admin. dissolved 2009-09-25; C.O.U.Q. Foundation = Delaware, qualified foreign in FL as F08000003048, revoked 2011-09-23. Beller's sentence is an assertion about how they were regarded. Surviving readings: successor/rename in substance; trade-name continuation; or loose speech describing common control. NOTE THE TIMING: this exchange is 14 months AFTER the Florida entity was dissolved, which fits Beller's phrasing and explains correspondence still addressed to 'Florida Science Foundation' in 2013-2014. NOTE ALSO: no EIN was ever evidenced for the Florida entity, so it could not have been a recognised 501(c)(3) in its own right. RESOLVE VIA DELAWARE FILINGS FOR C.O.U.Q. See FINDING-26. | *** DELAWARE RECORD PULLED 2026-09-06: File Number 2871726, INCORPORATION DATE 1998-03-16, Entity Kind Corporation, Entity Type EXEMPT, Residency Domestic Delaware, registered agent THE CORPORATION TRUST COMPANY (same corporate family as CT Corporation System, agent for both the Florida Science Foundation and this entity's Florida registration). THIS SETTLES THE CHRONOLOGY AND NARROWS BELLER'S SENTENCE. C.O.U.Q. was incorporated in Delaware on 1998-03-16 — NINE AND A HALF YEARS BEFORE The Florida Science Foundation (FL, 2007-11-01). So 'different names for the same foundation' CANNOT mean that C.O.U.Q. was a renamed or successor FSF; if anything the direction runs the other way. SEQUENCE IN FLORIDA: FSF incorporated FL 2007-11-01 -> C.O.U.Q. qualifies as a foreign nonprofit in FL in 2008 (F08000003048) -> FSF administratively dissolved 2009-09-25 -> C.O.U.Q.'s Florida registration revoked 2011-09-23. The two overlapped in Florida roughly 2008-2009. MATERIAL DISTINCTION FOR THE REGISTER: C.O.U.Q. is a LONG-STANDING vehicle predating the Florida criminal matter by a decade. The Florida Science Foundation was created five weeks after the federal non-prosecution agreement and used in the change-of-plea representation. They are not equivalent and must not be described as though they were. STILL UNRESOLVED: whether any formal instrument connects them. Delaware's free tier shows no officers, no status and no filing history — the $20 'Status, Tax & History Information' record WOULD show name changes and mergers, which is precisely the open question. That is a defined question worth the fee. | *** NY CHARITIES BUREAU 2026-09-07 (FINDING-39). Registered as "C O U Q FOUNDATION INC" — SPACES, NO PERIODS. Organization ID 06-34-76. EIN 13-3996471. Registration type NFP; REGISTRATION CATEGORY: EPTL ONLY (Estates, Powers and Trusts Law) — i.e. registered as an NY asset-holding charity, NOT under Article 7-A, which governs solicitation of the public. County: NEW YORK. ADDRESS OF RECORD: 885 Second Ave., New York NY 10017 — A NEW ADDRESS for this register; not 575 Lexington Ave 4th Floor. Registration documents: ONE ENTRY — 'Registration Statement for Charitable Organizations', RECEIVED 1999-04-20, marked NOT AVAILABLE FOR DOWNLOAD. 'Other filed documents': no rows. Registry serves financial reports for the last five years only; older material requires a NY FOIL request. TIMING: Delaware incorporation 1998-03-16; NY charities registration 1999-04-20 — about thirteen months later. | *** DELAWARE $20 STATUS/TAX & HISTORY RECORD PURCHASED 2026-09-07 (FINDING-48). Status: DISSOLVED as of 2012-11-19. Entity Kind: Corporation. Entity Type: EXEMPT. Last annual report filed 2012. Tax due $0. Agent THE CORPORATION TRUST COMPANY. COMPLETE FILING HISTORY — ONLY THREE FILINGS IN FOURTEEN YEARS: (1) 'Non-Stock Corporation', 3 pages, filed 1998-03-16 at 2:00 PM; (2) 'Renewal for Void', 1 page, 2012-11-19 at 11:17 AM; (3) 'Dissolution - Long Form', 1 page, 2012-11-19 at 11:29 AM. *** THIS ANSWERS THE BELLER QUESTION. C.O.U.Q. NEVER CHANGED ITS NAME AND NEVER MERGED WITH ANYTHING. *** A Delaware name change or merger is a filing and would appear in this history; there is none. So Harry Beller's 'Florida Science is COUQ... different names for the same foundation' (FINDING-26) CANNOT mean corporate succession. Of the three readings recorded in FINDING-26, the successor-in-substance reading is now CLOSED against it. What survives: trade-name or informal usage, or loose speech about common control. NEITHER IS ESTABLISHED and neither is asserted. THE TWELVE-MINUTE SEQUENCE: 'Renewal for Void' at 11:17 AM and 'Dissolution' at 11:29 AM on the same morning. A void Delaware entity cannot be dissolved, so it must first be revived. This is the ordinary mechanics of cleaning up a lapsed company, and it is recorded as such. It also means the entity HAD gone void at some earlier point — i.e. franchise tax or annual reports lapsed — though the record does not say when. NEXT DOCUMENT: the 1998-03-16 'Non-Stock Corporation' filing is THREE PAGES and is the certificate of incorporation. Under Delaware law it names the INCORPORATOR. Obtainable by mail from the Document Filing and Certificate Request Service. That is the same document that cracked The Florida Science Foundation open (FINDING-25).
